Association Bylaws

ARTICLE I         NAME AND PURPOSE

Section 1. The name of this Association shall be Pierce County Professional Photographers Association.

Section 2. The objectives and purposes of this Association shall be to advance the interests of photography both as an art and as a profession; to create, promote, and maintain cordial relations, cooperation and interchange of thought and opinion freely among all members; to educate; to foster the practical benefits derived from personal acquaintanceship and the discussion of subjects having to do with photography; to cooperate with other organizations which may be striving to accomplish similar purposes.

ARTICLE II       MEMBERSHIP

Section 1. Membership to this Association is open to all Professional Photographers, and to those interested in the photographic industry, whose dues are paid for the current year. Applicants shall be admitted to membership by the endorsement of an active PCPPA member and approval of the board.

ARTICLE III      OFFICERS AND BOARD

Section 1. The officers of this Association shall consist of: President, Vice President, Secretary, Treasurer, and Editor/Publisher.

Section 2. The Board shall consist of the existing officers, the Immediate Past President, the Librarian, and a minimum of two Members at Large.

Section 3. The term of office shall begin in January and continue for one year.

ARTICLE IV      DUTIES OF OFFICERS

Section 1. President: It shall be the duty of the President to preside at all meetings of this Association and to perform such other duties as ordinarily pertain to this office.

Section 2. Vice President: It shall be the duty of the Vice President to preside at meetings of this Association in the absence of the President, and to perform such duties as ordinarily pertain to this office.

Section 3. Secretary It shall be the duty of the Secretary to keep the records of membership and preserve the minutes of the meetings, and such other duties as pertain to this office.

Section 4. Treasurer: It shall be the duty of the Treasurer to have custody of all funds, accounting for same to this Association at it's annual meeting and at any other time upon demand of the board. It shall also be the duty of the Treasurer to send out notices for annual dues or any assessments that may be due. The Treasurer shall deposit all funds into bank accounts of this Association. Debts and obligations of this Association shall be paid by check signed by the Treasurer. The signature of the President shall also be authorized for check writing purposes and to perform such duties as pertain to this office. Upon retirement from office the Treasurer shall turn over to the successor or to this Association, all records, properties and funds belonging to this Association that are in the custody of the Treasurer.

Section 5. Editor/Publisher: It shall be the duty of the Editor/Publisher to create, print (publish), and mail the official Association Newsletter (The Focal plane) to all Association members. Additional publications and/or mailings may be directed by the board.

ARTICLE V       MEETINGS

Section 1. The meetings of this Association shall be directed by the board. There shall be a minimum of 10 meetings per year. (four of which are recognized as PPW District meetings).

Section 2. Special meetings of the board may be called at any time by the President or the Secretary. Each board member shall be given reasonable notice of time and place for such meeting.

Section 3. A majority of the Officers shall constitute a quorum and the majority of those board members present shall suffice on and question which is put to vote.

ARTICLE VI       EMBLEM

Section 1. The emblem (logo) shall be the property of the Association and the Association may revoke it's use by any member at any time. Only members in good standing shall have the right to use or display the emblem. The exclusive right of the Association to the use of such emblem shall be secured and maintained by the board as provided by Federal and State Law.

Section 2. The use of the emblem by any non-member in any form whatsoever, or the use of any statement pertaining to or claiming membership in this Association by means of advertisement or announcements in any type is strictly forbidden.

ARTICLE VII       AMENDMENTS

Section 1. These rules, regulations and bylaws may be repealed, altered or amended at any regular meeting of the board; or at any special meeting called for that purpose, provided that notice of such meeting and proposed changes shall be sent to all members at least 30 days prior to such action. Initiation of such changes shall be by 2/3 vote of board members present at any board meeting. Final action shall require 2/3 vote of the total membership present at the meeting.
